PARTNERSHIP AGREEMENT
On this 5th day of February in the year
2012 SOM Tour (hereafter referred to as SOMT) and STAR Tournaments, Inc.
(hereafter referred to as STAR) have entered into the below agreement.
The agreement will be signed by ONE board member on behalf of each Boards-of-Directors. This agreement will be
implemented immediately and will remain in effect through the 2014 season.
After the 2014 season the agreement may be canceled/re-negotiated by either
SOMT or STAR. Notice of intent to cancel/renegotiate must be provided
prior to September 30, 2014; or prior to September 30th of any given year after
2014. Any amendments, changes or termination of this agreement
would take effect after the following Worlds (example any amendments made prior
to 9/30/14 would take effect after the Worlds held in January 2015). If
no notice is given, the agreement will automatically renew and continue on a
year-to-year basis.
1 - It is agreed that SOMT and STAR
each remain separate and independent organizations.
2 - It is agreed that STAR will not run
any tournaments east of Ohio, north of Virginia and/or east of (and including)
Ontario Canada.
3 - It is agreed that SOMT will not
expand beyond the boundaries outlined in #2 above with the exceptions of
Chicago and Florida as outlined in #6 below.
4 - It is agreed that as a part of #1
above SOMT will run all events which were formerly scheduled/listed as STAR
East. They will administer these events as any other SOMT event with full
control and autonomy. The position of STAR East Regional Director (RD)
presently held by Eric Wayne will be dissolved. Gene Abood
will be appointed by STAR as liaison between STAR and
SOMT.
5 - It is agreed that SOMT will
guarantee 2 Albany, 2 NYC and 1 Canadian tournament to be on the schedule every
year. These events, like all other SOMT events, fall under SOMT
control. Should these events fail to average 9 attendees in a year, SOMT
may reduce the number of tournaments in that location to 1 the following
year. It is further agreed that SOMT will not make changes to the
scheduling of March-2012 NYC, March-2012 Montreal, April-2012 Albany and
October-2012 Albany; however SOMT may change, move or cancel any other 2012
east event at their discretion.
6 - It is agreed that SOMT will run its
already scheduled two Chicago-2012 and one Florida-2012 events. These
events will be listed as "Joint SOMT/STAR-Jasper" and "Joint
SOMT/STAR-South" respectively for the sole purpose of points. All
other administration of these vents remains with SOMT. It is agreed
that SOMT will remove Florida from its schedule in 2013 and all subsequent
years while an agreement with STAR is in force. It is further agreed that
SOMT will reduce the number of Chicago events to 1 starting in 2013 and
continuing to all subsequent years while an agreement with STAR is in force;
and that the one event is listed as a "Joint SOMT/STAR-Jasper" event
which is fully administered by SOMT.
7 - It is agreed that STAR may hold
other tournaments in Chicago and Florida under one of their existing regions.
8 - It is agreed that SOMT and STAR
each maintain the right to exercise disciplinary action, over their events, at
their discretion; and that neither organization may limit or prohibit event
participation in the other group's events. Any disciplinary action that
restricts a member from attending the Worlds MUST be agreed upon by BOTH
Boards-of-Directors. It is further agreed that both STAR and SOMT, as a
courtesy, should provide each other with information about any disciplinary
action that has been taken (members currently under restriction) as well as all
future action taken.
9 - It is agreed that SOMT will pay
STAR a flat fee in the amount of $250/year for including the SOMT schedule on
the annual Flyer which is included with the card sets. There are no other
financial responsibilities between the organizations. It is further
agreed that participation in the STAR Worlds bonus fund is and remains
voluntary.
10 - It is agreed that the next Worlds
(2012 season to be held in January 2013) will be in Orlando, FL. It is
further agreed that STAR will decide, at its discretion, where future Worlds
are held except SOMT will decide for the 2014 season (to be held in January
2015) and every third season thereafter. It is agreed that SOMT may
choose from the following locations: Las Vegas, NV; Dallas, TX; Orlando,
FL and Atlanta, GA. It is further agreed that STAR fully administrates
all Worlds.
11 - It is agreed that SOMT is
guaranteed at least ONE Papal Room, regardless of the number of divisions, at
each Worlds. It is further agreed that If there are more than 5
divisions, the extra seats will be awarded based upon attendance; so a sixth
seat would be awarded to the FTF region/SOMT with the most regular season (plus
regionals) attendees, and a seventh seat would go to
the FTF region/SOMT with the second-most attendees and so on. It is
agreed that SOMT determines how their seats are awarded and STAR determines how
their seats are awarded.
12 - It is agreed that Mike Kman is fully reinstated (including message board) with
STAR.
13 - It is agreed that both
organizations will work together, through
representatives on a scheduling committee, to create a schedule that promotes
maximum attendance for both SOMT and STAR events. It is further agreed
that both organizations should be mindful of the 10/700 rule but neither
organization is bound by it or any dates and may set their schedule at their
discretion.
14 - It is agreed that each club will
maintain an independent website, but will include as its first
"link", on the main page, the other club's website link.
